Parents School Association (PSA) Download PDF - 103kb MEMORANDUM OF ASSOCIATION, CONSTITUTION AND BY-LAWS
ARTICLE ONE: NAME The name of the organization shall be Parent School Association (PSA) hereafter referred to as: The Organization.
ARTICLE TWO: OBJECTIVES The Organization aims at being a vehicle of communication between the parents and the school in order to:
1) Maintain and enhance the level of confidence between teachers, administration and parents;
2) Assisting the school to meet its administrative and program needs;
3) To assist the parents at participating closer in extra-curricular activities.
4) To promote the International Baccalaureate
In order to achieve this the Organization will be putting in the means and ways it deems fit, which may include the following:
- International Day in school.
- Teachers' Appreciation Day
- Meet the candidates' night (new board Candidates)
- Being an open Forum for the Board of the school.
- Raising funds either through dues or fundraising activities of teachers or students.
- Field trips
- Chaperoning teen-agers.
- Housing coordination for conventions.
- Transportation coordination /Carpooling.
- Telephone Tree in case of emergency.
- To liaise with the school-administration concerning the hygiene and quality of food at the school cafeteria
- Substitute Teaching program

ARTICLE THREE: MEMBERSHIP AND DUES All members of The International School Staff, Board Members,
Directors, Shareholders, Parents or guardians of the children in attendance and Alumni
may attain membership upon payment of the dues as prescribed by the Executive
Committee. All others who are interested in membership as "Friend" will
require unanimous approval from members of the executive committee and pay
the dues.
Parents who have their children in school on financial Aid or scholarship
can be exempted from membership dues by writing to the Executive committee.
The discretion to exempt Parents from membership fees solely belongs to
the Executive Committee.
ARTICLE FOUR: EXECUTIVE COMMITTEE SECTION I
- The Executive Committee (E.C) shall consist of ten
persons as follows:
1) President
2) Vice-President
3) Secretary
4) Treasurer
5-6) Two members at large
1-6) must consist at the most a combination of 2 Board
members or Directors or Shareholders and at the most 6 parents
& guardians. All are elected at the Annual General Meeting.
7) The Administrator - ex-officio
8) The Principal - ex-officio.
9) The IB Coordinator- ex-officio.
10) The MYP coordinator - ex officio
- Ex-officio members of the E.C have no vote on the E.C
- Four (voting) members of the E.C shall constitute a quorum
- In case of a tie-vote the President's vote is the casting one.
- Teachers/aides or their spouses cannot be elected to the E.C
SECTION II Duties of E.C Office-bearers.
- PRESIDENT:
- Presides at all meetings of the PSA and
of the Executive Committee
- Appoints all necessary Committee Chairperson with the approval
of the Executive Committee, informs the chairperson of their
selection and serves as ex-officio member of all committees,
with the exception of the nominating committee.
- Performs all other duties entrusted by the Organization or the
Executive Committee.
- VICE PRESIDENT:
- Assists the president and presides over meetings in his/her absence.
- Performs all other duties entrusted by the organization or the Executive Committee.
- SECRETARY:
- Records the minutes of all meetings of the organization and
of the Executive Committee and undertakes all correspondence
necessary to their efficient administration.
- Attends to all other duties delegated by the Executive Committee.
- TREASURER:
- Receives all funds of the Association
- Plays out funds as authorized by the Executive Committee.
- Keeps full and accurate records of all financial transactions.
- Presents a financial statement at every meeting of the Organization.
- Closes the books at the end of the school year for passing on
to the next Executive Committee.
- Cheques for the disbursement of funds will be signed jointly
by any two of President, Vice President, Treasurer
DUTIES OF THE EXECUTIVE COMMITTEEThe Executive Committee shall:
- i) Meet at the call of the president. A schedule
of monthly meetings has to be put up.
ii) Meet upon the call of 3 (three) voting members of the Executive
Committee. The reason of the call shall be intimated in advance
and agenda communicated in advance.
- Set the amount of membership dues.
- Determine the number of General Meetings, set their dates and plan
their contents. Transact all interval business between the general
meetings and call special meetings of the membership if required.
- Approve the yearly accounts presented by the Treasurer.
- Appoint sub-committees as are deemed necessary.
- Arrange for the election of the organization's Executive Committee
at the general meeting.
- E.C -meetings are open to the members of the PSA.
- E.C -meetings are to be held on the school premises.
ARTICLE FIVE: ELECTION OF OFFICERS SECTION I
- Except for the "ex-officio" members of the executive
committee the member of the Executive committee have to be elected.
- The maximum term of office is two years.
- Every year three members will be elected to the E.C. so that there
remain continuity in the guidance of the E.C. At the end of the first
year of operation three member of the E.C. will step down in order
to allow for the election of 50 percent of the E.C.
- No person shall serve more than 2 (two) consecutive terms.
- Election to the executive committee shall be accomplished by a majority
vote of those members present at the annual General Meeting.
SECTION II A slate of nominees will be opened one month before the general meeting
and any member can nominate any other member to stand for election.
A slate of nominees will be circulated to members before the General Meeting.
SECTION III A vacancy in any office shall be filled for the remainder of the
term by a majority vote of the remaining Executive Committee members.
ARTICLE SIX: MEETINGS
- The General Meeting of the association shall
be scheduled by the executive committee and at least seven (7) day
notice should be given to the membership when a meeting is planned.
The annual election meeting must be held before winter recess.
- All motion shall be passed by a simple majority of the PSA members
present at a meeting.
- An extraordinary General Meeting can be called by 25% of PSA membership
who let their desire to do so be known in the way of putting their
signature to the request for a general meeting. The length or notice
as per letter a) of this article. The agenda should be specified in
the request for the meeting.
ARTICLE SEVEN: COMMITTEES The executive committee may create and appoint committee necessary to the
functions of the organization. The committee should present their plans
to the executive committee should not undertake action without its approval.
ARTICLE EIGHT: AMENDMENTS
- This constitution may be amended at any general
meeting of the Organization by the majority vote of the members present,
provided that notice of the proposed amendment shall have been made
available to the membership at least (10) ten days prior to the meeting.
- To substitute a new constitution a committee may be appointed to submit
a proposed document upon a majority vote of the membership or a 2/3
vote of the Executive Committee. The requirements for its adoption
follow those for the adoption of an amendment.
ARTICLE NINE: DISSOLUTION OF THE PSA
- Two thirds of the votes at any General Meeting
can decide on the dissolution of the PSA provided this motion of dissolution
has been submitted at least 10 days in advance of the meeting and
communicated to the members.
- After the vote of dissolution a majority vote will decide to which
end any remaining funds of the PSA will be utilized.
